MKM is a long term fundamental, small cap investor run by a group of successful entrepreneurs that have run public companies, start-ups, hedge funds and corporate finance departments.

We use the PIPE structure as entry point allowing us to purchase a structured instrument at a discount to the market- usually a convertible note. This allows us provide more protection to our investors capital in case the investment does not go as planned.

Besides structuring the investments as a note with anti-dilution protection to gain downside protection, we also get substantial warrants (usually one warrant for every share we would receive upon conversion of the notes). These warrant provide with free upside leverage on our investments.

The investment we make are industry agnostic, but are generally company specific event driven investments. For example, it is to fund an acquisition or maybe the rollout of a new product or the working capital to purchase inventories for expected increases in sales. If the event occurs, we expect to see a large increase in stock price.

Lastly, our strategy calls for us to spend time with our portfolio companies post-investment helping them any way we can; mostly in navigating Wall Street. Since we have so much upside from the warrants, it is in our best interest to use our expertise to give the stock the best opportunity of being recognized.
